1. Acceptance of Terms
By accessing or using ArriveSync ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Service. ArriveSync is operated by ArriveSync LLC, a Texas-based technology company. These Terms constitute a legally binding agreement between you ("you," "your," or "Subscriber") and ArriveSync LLC ("ArriveSync," "we," "us," or "our").
2. Description of Service
ArriveSync provides automated arrival notification infrastructure for field service businesses operating in the United States. The Service includes automated SMS, email, and push notifications to your customers throughout the service appointment lifecycle; a 9-touchpoint notification pipeline covering confirmation, dispatch, en-route, ETA updates, arrival, on-site check-in, job progress, completion, and post-service review requests; GPS-based technician tracking and real-time ETA calculations via Google Maps Platform; WeatherSync weather monitoring and cascade delay management; CascadeSync automated rescheduling and delay notifications; ReviewSync post-service review collection and routing; CRM integrations with third-party platforms (ServiceTitan, Housecall Pro, Jobber, FieldEdge, and others); the Intelligent Billing System with usage-based metering, grace buffers, notification packs, and overage ceilings; and related analytics, reporting, and dashboard tools.
3. Geographic Scope and Eligibility
The Service is designed exclusively for use by businesses operating within the United States. The Service is not intended for use outside the United States, and we make no representation that the Service is appropriate, available, or legally compliant for use in other jurisdictions. By using the Service, you represent that your business operates in the United States and that the recipients of your notifications are located in the United States. You must be at least 18 years old and have the legal authority to bind the business entity you register on behalf of. Each account must be associated with a valid business entity.
4. Account Registration
You must provide accurate, current, and complete information during registration and keep this information updated at all times. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at admin@arrivesync.com of any unauthorized use of your account or any other breach of security. We reserve the right to refuse, suspend, or terminate any account that contains inaccurate information or violates these Terms.
5. Subscription Plans and Billing
5.1 Plans and Pricing. ArriveSync offers tiered subscription plans: Free (150 notifications per month at no cost), Pro ($149/month for 500 notifications), Business ($349/month for 1,500 notifications), and Enterprise ($699/month for 4,000 notifications). Annual billing is available at a 20% discount. Pricing is subject to change with 30 days' written notice to active subscribers.
5.2 Intelligent Billing System. All paid plans include ArriveSync's proprietary Intelligent Billing System (IBS). The IBS includes a 5% grace buffer above your tier allocation at no additional charge; an overage ceiling capped at 50% of your monthly subscription fee; a Smart Value Advisor that recommends plan upgrades when overage costs exceed the next tier; and a waterfall billing structure where notification packs are consumed before overage charges apply. The specific thresholds, algorithms, and decision logic of the Intelligent Billing System are proprietary trade secrets of ArriveSync LLC.
5.3 Notification Packs. Additional notification packs may be purchased at any time. Purchased packs never expire and are consumed before overage billing applies in the IBS waterfall.
5.4 Add-On Services. Optional add-on services include WeatherSync (weather-informed scheduling alerts), CascadeSync (automated cascade delay management), ReviewSync (post-service review collection and routing), and SyncBundle (discounted bundle of all add-ons). Add-on pricing varies by subscription tier.
5.5 Payment. Subscription fees are billed monthly or annually in advance via Stripe. Overage charges are billed at the end of each billing cycle. You authorize ArriveSync to charge your payment method on file for all fees incurred. Failure to pay may result in suspension or termination of your account after 7 days' written notice.
5.6 Refunds. All subscription fees are non-refundable except as expressly stated in these Terms, required by applicable law, or agreed in writing by ArriveSync. Unused notification allocations do not roll over to the next billing cycle (except for purchased notification packs, which never expire).
6. SMS Compliance and Your Responsibilities
6.1 TCPA Compliance. You are solely responsible for obtaining all necessary consents from your customers before sending automated communications through ArriveSync. This includes compliance with the Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227; all applicable FCC regulations, including the one-to-one consent rule effective January 27, 2026; the CAN-SPAM Act for email communications; CTIA Messaging Principles and Best Practices; all applicable state laws, including but not limited to the Florida Telephone Solicitation Act (FTSA), the California Consumer Privacy Act (CCPA/CPRA), the Texas Data Privacy and Security Act (TDPSA), and the Virginia Consumer Data Protection Act (VCDPA); and all carrier-specific rules and requirements for A2P messaging.
6.2 Consent Is Not a Condition of Service. You must ensure that consent to receive automated SMS notifications through ArriveSync is not a condition of your customers purchasing goods or services from your business. Customers must be able to decline SMS notifications without affecting the delivery of their scheduled service.
6.3 10DLC Registration. ArriveSync maintains 10DLC brand and campaign registrations through The Campaign Registry (TCR) via our carrier partner, Telnyx. As a platform subscriber, your messaging traffic is sent under ArriveSync's registered campaigns. You must not send messages that fall outside the registered use cases (transactional service notifications). Sending promotional, marketing, or spam content through ArriveSync is strictly prohibited and may result in immediate account termination, carrier fines, and legal liability.
6.4 Sample Messages. All messages sent through ArriveSync must be consistent with the registered campaign use cases. Representative examples include: "Your technician Mike is en route and approximately 15 minutes away. Reply STOP to opt out." — "Your scheduled service appointment for 2:00 PM today has been confirmed. Msg & data rates may apply. Reply STOP to cancel texts, HELP for help." — "Due to severe weather in your area, your appointment has been rescheduled to tomorrow at 10:00 AM. Reply STOP to opt out."
6.5 Consent Documentation. You must maintain records of customer consent for a minimum of 5 years (10 years for Virginia residents) and provide proof of consent to ArriveSync upon request within 5 business days. Failure to produce consent documentation may result in suspension of messaging services for your account.
6.6 Opt-Out Handling. ArriveSync automatically processes STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, and QUIT keywords. When a customer opts out, we immediately add their number to a suppression list. The standard HELP response is: "ArriveSync notifications on behalf of [Business Name]. For help, contact [business phone] or visit arrivesync.com. Reply STOP to cancel. Msg & data rates may apply." You must not attempt to circumvent opt-out requests or re-add opted-out numbers without obtaining new, compliant consent.
6.7 Prohibited Content. You agree not to use the Service to send spam, unsolicited messages, or communications to individuals who have not consented to receive them; send messages containing SHAFT content (Sex, Hate, Alcohol, Firearms, or Tobacco); send messages related to high-risk lending, debt collection, or illegal substances; send messages that impersonate another business, person, or entity; send messages outside TCPA quiet hours (before 8 AM or after 9 PM recipient local time); or use ArriveSync numbers for purposes other than the registered 10DLC campaign use cases.
6.8 Data Accuracy. You are solely responsible for the accuracy of all data you provide to the Service, including customer phone numbers, addresses, appointment details, and technician assignments. ArriveSync is not liable for notifications sent to incorrect numbers or addresses due to inaccurate data provided by you.
6.9 Subscriber Privacy Policy. You are responsible for maintaining your own privacy policy that accurately discloses your use of ArriveSync as a third-party service provider and the types of data shared with ArriveSync in connection with notification services. Your privacy policy must comply with all applicable federal, state, and local privacy laws. You must provide a link to your privacy policy at or near the point where your customers provide their phone numbers or consent to receive SMS notifications.
7. Intellectual Property
The Service, including all software, algorithms, designs, text, graphics, user interfaces, visual interfaces, and underlying technology, is owned by ArriveSync LLC and protected by United States and international intellectual property laws.
The Intelligent Billing System, notification sequencing protocols, cascade management algorithms, 9-touchpoint notification pipeline architecture, Smart Value Advisor logic, and all related systems are proprietary trade secrets of ArriveSync LLC. You agree not to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or internal logic of any proprietary system.
You retain ownership of your business data. By using the Service, you grant ArriveSync a limited, non-exclusive, worldwide license to use, process, store, and transmit your data solely to provide and improve the Service. This license terminates when you delete your data or close your account, subject to our data retention policy.
8. Third-Party Integrations and APIs
The Service integrates with third-party CRM platforms (ServiceTitan, Housecall Pro, Jobber, FieldEdge, and others), mapping services (Google Maps Platform), carrier networks (Telnyx), payment processors (Stripe), and other third-party services. ArriveSync is not responsible for the availability, accuracy, completeness, or reliability of any third-party service, API, or integration. We are not liable for data synchronization failures, API downtime, data loss, errors, or interruptions caused by third-party platforms. Your use of third-party integrations is subject to the terms and conditions of those third-party providers in addition to these Terms. If a third-party provider modifies, restricts, or discontinues its API or service, we will make reasonable efforts to update the integration but are not liable for any resulting service disruption.
9. Beta and Preview Features
ArriveSync may offer certain features, services, or functionality designated as "beta," "preview," "early access," or similar designations. Beta features are provided "as is" and "as available" without any warranty of any kind. Beta features may contain bugs, errors, or inaccuracies and may not function as intended. We may modify, suspend, or discontinue any beta feature at any time without notice and without liability. Your use of beta features is at your own risk. Feedback you provide regarding beta features may be used by ArriveSync without restriction or compensation.
10. Prohibited Uses
You may not reverse engineer, decompile, or disassemble the Service or any component thereof; attempt to gain unauthorized access to any systems, networks, servers, or accounts; use the Service to violate any federal, state, local, or international law or regulation; transmit harmful code, malware, viruses, or any technology designed to disrupt or damage the Service; resell, sublicense, or redistribute the Service without prior written authorization from ArriveSync; interfere with or disrupt the Service or its infrastructure; use the Service to harass, abuse, stalk, threaten, or harm any individual; use the Service for any purpose other than legitimate field service business operations within the United States; share account credentials with unauthorized parties; or exceed reasonable usage patterns that suggest automated abuse or fraudulent activity.
11. Service Availability
We strive to maintain 99.9% uptime for the Service. However, the Service is provided "as is" and "as available," and we do not guarantee uninterrupted or error-free operation. Scheduled maintenance windows will be communicated at least 24 hours in advance when possible.
SMS delivery is dependent on third-party carrier networks (Telnyx, T-Mobile, AT&T, Verizon, and others) and is subject to carrier processing times, network congestion, and recipient device availability. ArriveSync does not guarantee delivery of any individual SMS message. Carriers are not liable for delayed or undelivered messages.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARRIVESYNC LLC AND ITS RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY THIRD-PARTY INTEGRATION OR API FAILURE, ANY FAILURE TO DELIVER SMS MESSAGES, ANY INACCURACY IN ETA, GPS, OR WEATHER DATA, OR ANY OTHER MATTER RELATING TO THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO ARRIVESYNC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. FOR FREE PLAN SUBSCRIBERS, OUR MAXIMUM LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
13. Indemnification
You agree to indemnify, defend, and hold harmless ArriveSync LLC and its respective officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to your use of the Service; your violation of these Terms; your violation of any applicable law, rule, or regulation, including but not limited to the TCPA, CAN-SPAM Act, CCPA, or any state privacy law; TCPA violations, carrier fines, or regulatory penalties resulting from messages sent through your account; your failure to obtain proper consent from your customers; your failure to maintain a compliant privacy policy as required by Section 6.9; your infringement of any third-party rights; data inaccuracies you provide to the Service; or any dispute between you and your customers arising from notifications sent through the Service.
14. Dispute Resolution and Arbitration
14.1 Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or the relationship between you and ArriveSync, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved through final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Smith County, Texas. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
14.2 CLASS ACTION WAIVER. YOU AND ARRIVESYNC AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, REPRESENTATIVE, OR COLLECTIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN OR BE A MEMBER OF ANY CLASS ACTION OR MULTI-PARTY ARBITRATION.
14.3 JURY TRIAL WAIVER. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ARRIVESYNC EACH WAIVE ANY RIGHT TO A JURY TRIAL IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.
14.4 Exceptions. Either party may seek injunctive or equitable relief in any court of competent jurisdiction for claims related to intellectual property infringement, trade secret misappropriation, or unauthorized access to the Service. Claims within the jurisdiction of a small claims court may be brought in such court without arbitration.
15. Termination
Either party may terminate these Terms at any time. You may cancel your subscription through your account settings or by emailing admin@arrivesync.com. Cancellation takes effect at the end of your current billing cycle, and you will retain access to the Service until that date.
We may suspend or terminate your account immediately and without prior notice for violation of these Terms, including TCPA or carrier compliance violations; non-payment after 7 days' written notice; suspected fraudulent or abusive activity; carrier complaints or campaign suspension related to your account; or any conduct that we determine, in our sole discretion, poses a risk to the integrity of the Service or other subscribers.
Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination by emailing admin@arrivesync.com. After 30 days, your data will be deleted in accordance with our data retention policy, except as required by law.
16. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE DELIVERY OF ANY INDIVIDUAL SMS MESSAGE, AS DELIVERY IS DEPENDENT ON THIRD-PARTY CARRIER NETWORKS OUTSIDE OUR CONTROL. WE DO NOT WARRANT THE ACCURACY OF ETA CALCULATIONS, GPS DATA, OR WEATHER DATA PROVIDED THROUGH THE SERVICE. WE DO NOT WARRANT THE AVAILABILITY, ACCURACY, OR RELIABILITY OF ANY THIRD-PARTY INTEGRATION, API, OR CRM PLATFORM.
17. Force Majeure
ArriveSync shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, labor disputes, carrier network outages, third-party service provider failures, internet disruptions, government actions, or regulatory changes.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action not subject to arbitration under Section 14 shall be brought exclusively in the state or federal courts located in Smith County, Texas, and you consent to the personal jurisdiction of such courts.
19. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent.
20. Entire Agreement
These Terms, together with our Privacy Policy and any applicable Enterprise agreement, constitute the entire agreement between you and ArriveSync regarding the Service and supersede all prior agreements, understandings, representations, and warranties, whether written or oral, regarding the subject matter herein.
21. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated to registered subscribers via email at least 30 days before the effective date. We will update the "Last updated" date at the top of this page. Continued use of the Service after the effective date of changes constitutes acceptance. If you disagree with any changes, you must stop using the Service and cancel your account before the effective date.
